DGAP-PVR: innogy SE: Release according to Article 40, Section 1 of the WpHG [the German Securities Trading Act] with the objective of Europe-wide distribution

Release according to sections 40 para.1, 43 German Securities Trading Act (WpHG) with the objective of Europe-wide distribution

By voting right information dated 4 December 2018 RWE Aktiengesellschaft, Essen, (hereinafter 'RWE') has informed us, that GBV Vierunddreißigste Gesellschaft für Beteiligungsverwaltung mbH, Essen, (hereinafter 'GBV') has exceeded the notification threshold of 10 % of voting rights in innogy SE. This qualifies as a material holding pursuant to section 43 WpHG.
On 27 December 2018 RWE informed us in accordance with section 43 para.1 sentence 3 WpHG as follows:

1. The acquisition of voting rights by GBV serves as preparation for the transaction between RWE and E.ON SE, Essen, published on 12 March 2018 and the exchange of business activities between both corporations associated therewith. Thereafter, it is inter alia intended that E.ON SE acquires from RWE its 76.8 percent stake in innogy SE.

2. RWE does not intend to acquire further voting rights within the following twelve months.

3. Beyond the current status quo, RWE does not intend to further influence the appointment of executive board and/or supervisory board of innogy SE.

4. RWE does not intend to materially amend the capital structure of innogy SE, in particular with regard to the ratio between equity- and debt financing and the dividend policy.

With regard to the acquisition of voting rights by GBV RWE further informed us pursuant to section 43 para. 1 sentence 4 WpHG that the acquisition did not require any equity or debt financing. The shares of innogy SE were transferred within the RWE group from RWE Downstream Beteiligungs GmbH as transferring entity to GBV as acquiring entity by transformational law measures (merger).
